Online Registration Instructions

Login to the Business Registration System using your UtahID.
From the menu on the left, select "Formations & Registrations" and choose the entity type.
Follow the filing process, providing required information. Note: certain entities, such as corporations, must include a purpose statement.
Provide registered agent information by either looking up an existing agent or adding a new one. Note: you can add yourself as a registered agent to submit your filing.
Enter principal information of the entity’s managers, owners, organizers, etc.
Upload any additional documents required by statute.
Complete the signature section, certifying the filing's accuracy and adding electronic signatures.
Review the filing, correct any errors, and add to Shopping Cart.
Click on your shopping cart (upper right) to complete the payment process.
After payment, you'll receive confirmation and email notification once the filing is accepted and completed.

This information applies to all entities except DBAs.

Name Reservations are not business registrations. They simply reserve a business name for a period of 120 days until you are ready to file your business entity.

It is not required to file a Name Reservation prior to filing your business entity. If your formation documents are ready to file, simply file them by following the instructions on How to File a Formation/Registration above. Do not file a Name Reservation prior to or in conjunction with the business entity filing.

Login to the Business Registration System using your UtahID.
From the menu on the left, click "Renewals" and select the appropriate filing option.
Enter the name or entity number into the correct field and click "Search".
Select the bubble next to the entity you are filing on and then click
'"Next".

Login to businessregistration.utah.gov using your UtahID.
From the menu on the left, click "File On An Existing Business".
Enter the name or entity number into the appropriate field and click "Filter".
Select the bubble next to the entity you are filing on and then click "Select Entity".
At the bottom, select filing type from the drop-down list.
Continue following online steps as directed.

To purchase a Certificate of Existence for all entity types except DBAs:

Login to the Business Registration System using your UtahID.
From the menu on the left, click "Copies and Certificates" and then “Request Certificate of Existence”.
Follow the online steps as directed. Helpful Tip: Use your entity number to search for your entity.

If you need to authenticate a Certificate of Existence, select “”Authenticate Certificate” under “Copies and Certificates” in the menu on the left.

Purchase a DBA Certificate of Existence/Registration or other certified documents.

IMPORTANT:

Filing Authority is an optional security feature that allows users to register an administrator for an entity, allowing only the administrator and their designated users to file on a business. It is automatically activated for entities created after September 16, 2024, with the registering email as the default administrator. The administrator can grant user privileges to others.

To activate Filing Authority and become the administrator of an entity:

Login to the Business Registration System using your UtahID.
From the menu on the left, click "Manage Entities & Authority" and then click "Request Authority".
Enter the name or entity number into the correct field and click "Search".
Select the bubble next to the entity you are filing on and then click "Select", then click "Next".
Click on "Print Affidavit". A PDF will download. Print the downloaded PDF and contact a notary public to verify your identity and notarize the document.
Email the complete and notarized PDF to [email protected].
The Division will review the request and, if approved, you will receive an email with an authorization code.

To request filing authority from an existing administrator:

Login to the Business Registration System using your UtahID.
From the menu on the left, click "Manage Entities & Authority" and then click "Request Authority".
Enter the name or entity number into the correct field and click "Search".
Select the bubble next to the entity you are filing on and then click "Select", then click "Next".
Choose the privileges you want for this entity, including editing and inviting users, filing, and viewing the dashboard.
Click “Send Request” to submit your request for authority. Once approved, you'll have the selected privileges.
Check your filing authority status by going back to "Manage Entities & Authority" and selecting "My Requests & Invitations."
